FINAL SPACE ME SWEEPSTAKES

OFFICIAL RULES AND REGULATIONS

NO PURCHASE NECESSARY TO ENTER OR WIN.

1. ELIGIBILITY. “Final Space Me Sweepstakes” (the “Sweepstakes”) is open to legal residents of (and who are physically present in) the fifty (50) United States and the District of Columbia, who are thirteen (13) years of age or older on the date of entry. The following are also ineligible: employees, their spouses and immediate families (parent, child, sibling, and any of their respective spouses) and household members (whether or not related) of Turner Entertainment Networks, Inc. (“Sponsor”), Warner Media, LLC, and each of their respective parents, subsidiaries, divisions, trustees, franchisees, participating vendors, distributors, cable affiliates, advertising and promotion agencies and affiliated entities (collectively, including Sponsor, the “Sweepstakes Entities”).

The Sweepstakes is governed by United States law and is subject to all applicable federal, state and local laws and regulations. By entering the Sweepstakes, participants agree to accept and be bound by all terms of these Official Rules and Regulations (“Official Rules”). Void in Puerto Rico, United States territories and possessions and where prohibited or restricted by law.

2. HOW TO SUBMIT YOUR VIDEO. Sponsor will encourage each entrant (the “Entrant”) to download the Final Space AR app and create one (1) ten to thirty second (00:10 – 00:30) video (the “Video”) of themselves with a Final Space character (the “Entry”). All Entries must be received between 12:01:01 a.m. Eastern Standard Time (“EST”) on July 20, 2018 until 11:59:59 p.m. EST on August 1, 2018 (the “Entry Submission Period”). To enter the Sweepstakes Entrants may log on to the website http://tbs.com/finalspaceme (the “Website”) during the Entry Submission Period and follow the directions to enter by providing and submitting Participant’s email address.

Limit: One (1) prize per person/ household/ email address.

Multiple entries received in violation of the above entry limitation, false or deceptive acts or entries, or entries generated by script, macro or other automated means will be void, will render a Entrant ineligible, and also may result in Entrant no longer being allowed to enter Sponsor’s sweepstakes, Sweepstakes or other promotions in the future, at Sponsor’s sole discretion. Entries must be submitted in the name of an eligible living person and the prize can only be awarded to the person or e-mail account holder whose name is on or corresponds to the winning entry (or, if none, the primary email address associated with the email identified, as applicable). The authorized account holder is deemed to be the natural person who is assigned to the email address associated with the email by the relevant entity responsible for assigning the email address for the relevant domain.

Failure to comply with the Official Rules and any other instructions for submission of an entry as available on the Website, in the sole discretion and as determined by Sponsor, may result in disqualification of a Entrant’s entry(ies). All entries become the property of Sponsor and will not be acknowledged or returned.

3. SUBMISSION ENTRY REQUIREMENTS: To be eligible for this Sweepstakes, Video must meet the below entry requirements.

It cannot contain any other text or images of any kind or otherwise contain material added by the Entrant that violates any law or infringes any third party’s rights;
It must be created and submitted by an eligible individual who hereby acknowledges and agrees that the provision of any and all services in connection with the custom Video are not subject to the provisions of any collective bargaining or guild agreement;
It must not be created or submitted by anyone under a contractual, employment or other obligation to any other individual or entity to provide the types of materials solicited hereunder as a part of an exclusive obligation, first right of refusal, or other similar restriction;
It cannot be sexually explicit, pornographic, violent (e.g., relating to murder, weapons, cruelty, abuse, etc.), or depict tobacco or alcoholic products, as determined in the sole discretion of the Sponsor;
It cannot depict or encourage illegal behavior (e.g., underage drinking, substance abuse, computer hacking, etc.), as determined in the sole discretion of the Sponsor;
It cannot be offensive, threatening, profane, defamatory, discriminatory, harassing, inappropriate or otherwise objectionable, as determined by the Sponsor in their sole discretion.
It cannot include website addresses, phone numbers, license plates or personally identifiable information for any individual or entity or otherwise violate the privacy rights of any individual or entity,
It must otherwise comply with these Official Rules.
Entrants who, in the sole discretion of Sponsor, submit a custom Video that fails to meet any of these entry requirements will be disqualified.

4. ENTRANT REPRESENTATIONS & WARRANTIES; CONSENT TO USE NAME AND LIKENESS: By entering the Sweepstakes, each Entrant agrees that: (i) he/she has submitted a custom Video; (ii) he/she consents to Sponsor’s use of his/her custom Video in the Sweepstakes in the manner set forth in these Official Rules; (iii) the custom Video cannot be used by Entrant (or others) for any commercial purposes whatsoever other than to enter this Sweepstakes; (iv) the custom Video has not been previously published by Entrant and does not violate or infringe on the rights or intellectual property of any third party or entity; (v) the custom Video does not defame or violate publicity rights or the privacy of any person, living or deceased, or otherwise violate or infringe upon any person’s personal or intellectual property rights or any other third party rights; (vi) Entrant has read, accepted and agreed to be bound by all terms of these Official Rules and the privacy policy posted on the Sweepstakes Website; and (viii) Entrant may be contacted by email.

Each Entrant further agrees that he/she hereby grants to the Sponsor, the perpetual, worldwide, transferable and royalty-free right to publicly exhibit Entrant’s name and likeness, including without limitation, the Entrant’s custom Video, in whole or part, on their respective websites in connection with the administration and fulfillment of the Sweepstakes (including without limitation, display on the Sweepstakes Website), and/or for advertising and promoting the Sweepstakes and/or the Sponsor in any and all media, without additional notice or compensation to Entrant.

5. OWNERSHIP/ USE OF ENTRIES: Entrants agree that Sponsor will own the custom Video (and all rights embodied therein) and that Sponsor and their designees may exploit, edit, modify, and distribute the custom Video and all elements of such custom Video, in any and all media now known or hereafter devised, worldwide, in perpetuity without compensation, additional permission or notification, or attribution to Entrant or any third party (except where prohibited by law), including, without limitation, on-air and on the Sweepstakes Website. Entrant will not disseminate or otherwise submit the custom Video to any other entity or individual for publication or use of any nature. Sponsor reserve all rights not expressly granted herein.

6. JUDGING, VOTING AND WINNER SELECTION: The Sweepstakes consists of two phases: (1) selection of ten (10) finalists; and Final Space production team to select one (1) winner, as described further, below.

First round judging: On or around August 1, 2018 ten (10) finalists (the “Finalists”) will be selected by Sponsor (the “Judges”) from among all eligible entries received during the Entry Period (“First Round of Judging”), based upon the following judging criteria: (i) 25% enthusiasm for Final Space, (ii) 25% creativity (iii) 25% originality and (iv) 25% performance (collectively, the “Judging Criteria”). Sponsors reserve the right to select fewer than ten (10) Finalists if, in Sponsor’s sole discretion, Sponsor’s do not receive a sufficient number of eligible and qualified custom Video.

Final round judging: The Finalist will be selected on or around 11:59:59 PM EST on August 6, 2018 (“Final Judging Round”), from among all eligible entries, following the First Round of Judging based upon the following judging criteria: (i) 50% creativity and (ii) 50% performance (collectively, the “Final Judging Criteria”).

Winner Selection: On or around August 7, 2018, one (1) winner (once verified and confirmed by Sponsor as set forth below, the “Winner”) will be selected by the Final Judging Round Judges. In the event of a tie, the Judges will determine the winner from among the tied entries based on the Final Judging Criteria. The potential Winner will be notified via email and must meet all eligibility requirements including the execution and return to Sponsor of all necessary releases and documents within the time specified below, unless otherwise indicated. The Sweepstakes will be administered by Sponsor and the decisions of Sponsors and the Judges in all matters regarding this Sweepstakes are final and binding. Potential Winner must meet all eligibility requirements including the timely execution and return of all necessary releases and documents (including an affidavit of eligibility, liability release, and tax acknowledgment form and, except where prohibited by law, a publicity release) within two (2) days of Sponsor issuing the notification that he/she is being considered as a potential Winner. Noncompliance within this time period or failure of potential Winner to respond after two (2) notification attempts may result in disqualification and, at Sponsor’s discretion, an alternate Winner may be selected. If (i) any prize or prize notification is returned as undeliverable, (ii) a potential Winner declines his or her prize, or (iii) a potential Winner fails to comply with any of the Official Rules as outlined herein, such potential Winner will be disqualified and an alternate Winner may be selected by the Judges, at Sponsor’s sole and absolute discretion.

The Sweepstakes Entities and each of their respective employees, officers, directors, representatives and agents (collectively, the “Released Parties”) are not responsible for misdirected, incomplete, lost, late, illegible, undelivered, inaccurate or delayed entries, or for technical, hardware, or software failures of any kind, lost or unavailable network, cable, satellite, Internet service provider, telephone, telephone lines or other connections, preemptions, blackouts or any other non-controllable acts concerning a television broadcast, failed, incomplete, garbled or delayed computer transmissions or other errors or problems of any kind which may limit or affect a person’s ability to participate in the Sweepstakes, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prizes or in any Sweepstakes-related materials. In the event of sabotage, acts of God, terrorism or threats thereof, computer virus or other events or causes which corrupt or undermine the integrity, administration, security or proper operation of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to disqualify entrants and/or modify, cancel or suspend the Sweepstakes. In the event of termination, Sponsor reserves the right, at their sole discretion, to award the prizes from among all non-suspect eligible entries received up to the time of such action. False or deceptive entries or acts will render the entrant ineligible. All entries become the property of the Sponsor and will not be acknowledged or returned. Regardless of method of entry, limit one (1) entry per person, e-mail address or household per Entry Period.

Sponsor’s computer is the official time clock. Entries must be submitted in the name of an eligible living person. All entries become the property of the Sponsor and will not be acknowledged. Proof of submitting an entry does not constitute proof that Sponsor received the entry in the Sweepstakes.

7. HOW TO WIN; ODDS OF WINNING. One (1) Grand Prize Winner (the “Grand Prize Winner”) will be chosen by Final Judging Round from among all eligible entries received during the Entry Submission Period and announced on or around August 15, 2018. The odds of winning will depend on the total number of eligible entries received during the Entry Submission Period. The Grand Winner will be notified by Sponsor via email and must meet all eligibility requirements including timely replying to Sponsor’s notification and executing and returning all necessary releases and documents (if any) required by Sponsor. Winning a prize is contingent upon fulfilling all requirements set forth in these Official Rules.

At the sole discretion of Sponsor, disqualification may result from any of the following: If the potential Grand Prize Winner (i) fails to respond to the notification or contact Sponsor within a reasonable period of time or no longer than two (2) days from the date Sponsor sends such notice, (ii) fails to sign and return all necessary documents within the time period designated by Sponsor, (iii) declines the prize, (iv) fails to provide Sponsor with satisfactory proof of age, identity and residency, or (v) fails to comply with any of the Official Rules as outlined herein, such potential Winner will be disqualified and an alternate Grand Prize Winner will be chosen.

The decisions of Sponsor in all matters regarding this Sweepstakes are final and binding.

8. PRIZE. One (1) Winner will receive one (1) three (3) day two (2) night trip to Los Angeles, California (the “Grand Prize Trip”), arriving on or before September 27, 2018 (the “Travel Dates”), for Winner and one (1) Grand Prize Trip for a guest (“Guest”). The Grand Prize Trip will include the following: (a) round trip coach class air transportation for two (2) from the major U.S. gateway airport nearest the Winner’s residence to the California airport of Sponsor’s choice (the “Airport”) at an ARV of One Thousand Five Hundred Dollars ($1,500 US); (b) roundtrip ground transportation between the Airport and Sponsor selected hotel (the “Hotel”); (c) One (1) double occupancy standard accommodations at the Hotel for Winner and Guest for two (2) nights at an ARV of Seven Hundred Dollars ($700 US); and (d) Five Hundred Dollars ($500 US) American Express gift card for spending money to be awarded to the Winner only. Actual value of the Grand Prize may vary based on point of departure and airfare fluctuations. The Winner is responsible for all costs and expenses not expressly provided for above, including, without limitation, obtaining a passport or other documents necessary for travel, additional ground transportation, additional meals not served at Hotel, incidentals, tips, telephone calls, souvenirs, other personal expenses and hotel charges incurred during the trip. All travel arrangements must be made through Sponsor’s agent on a carrier of Sponsor’s choice so as to allow for arrival prior to the Events. Dates are subject to availability and certain black-out dates and other travel restrictions may apply. Sponsors reserve the right to approve any travel dates and trip must be taken during the Travel Dates. Sponsor is not responsible for any travel-related delays or cancellations. TOTAL ARV OF PRIZES: Two Thousand Seven Hundred Dollars ($2,700 US).

Fifty (50) Winners will each receive a Mooncake plushie at ARV of Twenty Dollars ($20 US) TOTAL ARV OF PRIZES: One Thousand Dollars ($1,000 US).

TOTAL ARV OF ALL PRIZES: Three Thousand Seven Hundred Dollars ($3,700 US).

No substitution or transfer of prizes or cash redemptions permitted by the Winners. Sponsor reserve the right to substitute for any reason whatsoever a prize (or portion thereof) of comparable or greater value, in their sole discretion. Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. The Winners are responsible for the reporting and payment of all applicable taxes (if any) as well as any other costs and expenses associated with acceptance and use of a prize not specified herein as being awarded. The Winner(s) and Guest are responsible for obtaining proper documentation (e.g., valid photo ID and passport) prior to travel. All prize details are in Sponsor’s sole discretion.

9. INDEMNIFICATION AND LIMITATION OF LIABILITY: EACH ENTRANT AGREES TO RELEASE, DISCHARGE, HOLD HARMLESS AND INDEMNIFY EACH OF THE RELEASED PARTIES FROM AND AGAINST ANY CLAIMS, DAMAGES, DISABILITY, ATTORNEYS' FEES, AND COSTS OF LITIGATION AND SETTLEMENT, AS WELL AS ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE USE, ACCEPTANCE, POSSESSION, MISUSE OR AWARDING OF THE PRIZE, WHILE PREPARING FOR, PARTICIPATING IN AND/OR TRAVELING TO OR FROM ANY PRIZE-RELATED OR SWEEPSTAKES-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY. EACH WINNER AGREES (AS BETWEEN SPONSOR AND SUCH WINNER) THAT THE PRIZE WON IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

EACH ENTRANT AGREES THAT (I) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT OF POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH PARTICIPATING IN THIS SWEEPSTAKES, BUT IN NO EVENT ATTORNEYS’ FEES; AND (II) UNDER NO CIRCUMSTANCES WILL ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR, AND ENTRANT HEREBY WAIVES ANY AND ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES, AND ANY OTHER DAMAGES OTHER THAN FOR ACTUAL OUT OF POCKET EXPENSE AND WAIVES ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.

EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER. SECTION 1542 READS AS FOLLOWS:

“CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

10. GENERAL. By participating in this Sweepstakes and accepting the prize(s), each Winner grants the Sweepstakes Entities the right, unless prohibited by law, to use the Winner’s name, voice, picture and likeness, without further compensation, notification or approval, for the purpose of advertising, promotion and/or publicizing the goods and services of the Sweepstakes Entities and/or such designees and/or in connection with all matters related to the Sweepstakes, in any manner or medium, throughout the world in perpetuity.

CAUTION AND WARNING: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

11. ARBITRATION/CLASS ACTION WAIVER: PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT OR CLASS ACTION IN COURT.

The Released Parties and you (“Parties”) agree that these Official Rules affect interstate commerce and that the Federal Arbitration Act governs the interpretation and enforcement of these arbitration provisions.

Any dispute/claim relating to this contract or its breach, the Official Rules or any prize awarded (“Claim”) that is not informally resolved within fifteen (15) days of notice, shall be finally resolved by arbitration in your state of residence. The arbitration will be administered by the AAA under its AAA Rules, will be conducted in English and by a single arbitrator, and any court with jurisdiction may enter judgment regarding the arbitrator’s award.

The Released Parties will bear the cost of any arbitration filing fees and arbitration fees for claims of up to $75,000.00, unless the arbitrator determines that the arbitration is frivolous. You are responsible for any other costs that you may incur in the arbitration, including, attorney fees and expert witness costs, unless the Released Parties are otherwise required to pay such costs under applicable law. You may pursue your claim in small claims court where jurisdiction and venue over the Released Parties is proper if your claim otherwise qualifies for such court and you do not seek any equitable relief.

The Parties agree that the Released Parties and you will resolve any Claim on an individual basis, and that any Claim will be brought in an individual capacity, and not on behalf of, or as part of, any purported class, consolidated, or representative proceeding (“Class Proceeding”). The Parties further agree that neither will participate in any current or future Class Proceeding brought by any third party relating to the contract, Sweepstakes, Official Rules, Promotion or any prize.

If any court or arbitrator determines that the class action waiver is void or unenforceable or that arbitration may proceed on a class basis, then the relevant claim will not be subject to arbitration and must be litigated in federal court located in New York, New York.

The agreement to arbitrate and class action waiver also apply to any Claims you assert against the Released Parties or their advertisers or their respective present or future parent, subsidiary or affiliated companies.

12. PRIVACY POLICY: Any personally identifiable information collected during participation in this Sweepstakes will be used by Sponsor, its affiliates, agents and marketers solely for purposes of the proper administration and fulfillment of the Sweepstakes as described in these Official Rules and will otherwise be subject to Sponsor’s Privacy Policy as stated at http://www.tntdrama.com/terms.
